Terms of Service

These terms explain the basic rules for accessing and using the XNova website, console, API, API keys, documentation, and related access methods.

By continuing to access or use XNova, you confirm that you understand and accept these terms. If you use XNova on behalf of a company, organization, or other entity, you confirm that you are authorized to accept these terms for that entity.

Overview

XNova provides AI model calls, compatible API access, balance and usage management, image generation, setup documentation, and related tools. You may use these services only in compliance with these terms, the Usage Policy, and Supported Countries and Regions.

Some XNova capabilities rely on upstream models, third-party APIs, cloud infrastructure, payment channels, identity verification, or risk-control services. These third-party capabilities may change due to their own policies, pricing, regions, maintenance, outages, or safety requirements, and may affect XNova availability, latency, model access, or billing results.

Service Regions and User Eligibility

XNova provides commercial API access and related services only within the regions listed in Supported Countries and Regions.

You confirm that your location, habitual residence, registration location, place of actual control, and actual service usage location are within the supported scope. You may not use VPNs, proxies, assisted payment, assisted registration, account transfers, API relays, or similar methods to bypass regional, identity, payment, or risk-control restrictions.

If XNova reasonably believes that your use does not satisfy regional, identity, payment, sanctions, export-control, upstream-policy, or platform risk requirements, XNova may refuse registration or transactions, restrict model access, suspend calls, disable API keys, terminate accounts, and refuse refunds where appropriate.

Accounts and API Keys

You are responsible for your account, API keys, balance, project configuration, and all calls made through those credentials.

You should manage API keys carefully and avoid:

  • Placing API keys in public repositories, frontend code, public clients, screenshots, logs, or any location easily accessible by others.
  • Selling, renting, lending, or sharing accounts, API keys, balances, quotas, or model channels with unauthorized third parties.
  • Using bulk registration, false identities, account pools, proxy resale, or other methods to bypass platform limits.
  • Continuing to use an unrotated API key after suspected leakage, theft, or abnormal calls.

If you discover a security risk involving your account or API key, disable the affected credential promptly and contact XNova through the support channel.

Customer Content

You retain the rights you lawfully hold in the inputs, files, prompts, and other customer content you submit to XNova. Unless applicable law or third-party terms provide otherwise, outputs generated from your inputs may be used by you under the applicable rules.

XNova does not use customer content from the service to train its own models. To complete requests, troubleshoot issues, handle abuse, satisfy safety and compliance requirements, or respond to support requests, XNova may process requests, responses, logs, and account information to the necessary extent.

You are responsible for ensuring that you have the required rights, permissions, or legal basis to submit inputs, reference materials, process data, and use outputs. You are also responsible for downstream display, publication, forwarding, integration, and end-user use.

Use Restrictions

You may not use XNova for illegal activity, infringement, fraud, harassment, malicious attacks, restriction bypassing, artificial traffic, or other abuse of platform resources.

In addition to the restrictions in the Usage Policy, you may not:

  • Use XNova services, outputs, response patterns, or model behavior to train, fine-tune, distill, evaluate, benchmark, or improve competing models.
  • Resell, rent, share, redistribute, package, or repackage XNova service capabilities without explicit authorization.
  • Reverse engineer the service, scrape at scale, perform credential stuffing, bypass authentication, evade quotas, bypass billing, or evade risk controls.
  • Affect platform stability through empty requests, abnormal concurrency, repeated failed retries, scripted artificial traffic, or similar behavior.
  • Assist others in any of the above conduct.

User Compliance Responsibility

You are responsible for confirming that your access, purchases, calls, inputs, outputs, forwarding, integrations, and downstream use comply with laws and regulations in your location, service usage location, and business location.

You may not use XNova for unlawful, non-compliant, infringing, regulation-evading, region-bypassing, or third-party-harming purposes. Any complaints, investigations, penalties, claims, losses, expenses, or third-party liabilities caused by your or your downstream users' unlawful use, improper integration, concealment of actual region, risk-control evasion, or violation of these terms are your responsibility. XNova may seek recovery of reasonable losses and expenses caused by such conduct.

Output Notice

AI model outputs may be inaccurate, incomplete, outdated, biased, or unsuitable for a specific situation. Before displaying, publishing, relying on, or acting on outputs, you should evaluate their accuracy, legality, and suitability, and perform human review where necessary.

You may not use XNova outputs as the sole basis for high-risk decisions such as medical, legal, financial, insurance, employment, education admission, housing eligibility, or law enforcement decisions.

If you integrate XNova into your own product, proxy, bot, client, plugin, platform, or other user-facing service, you should provide appropriate notice to end users and ensure their use complies with these terms and the Usage Policy.

Fees and Refund Policy

XNova charges according to rules shown in the console, model pricing pages, group multipliers, image tiers, or other product descriptions. Prices, model availability, channels, billing methods, balance rules, and promotional benefits may change due to business needs, upstream costs, or third-party policy changes.

You are responsible for fees, balance consumption, and subscription use under your account. If your balance is insufficient, payment is abnormal, a billing dispute arises, payment risk controls are triggered, or fees are not paid as required, XNova may restrict, suspend, or terminate related services.

Refund requests based on personal plan changes, mistakes, consumed quotas, violating use, redistribution, or violations of the Usage Policy may be refused depending on the circumstances. To prevent fraud, card abuse, money laundering, or abuse of the refund process, XNova may require payment proof, transaction records, identity information, receiving account information, or other necessary materials.

Suspension and Termination

XNova may restrict, suspend, block, or terminate part or all of the service if:

  • The use violates these terms, the Usage Policy, service instructions, or applicable law.
  • The account, API key, request content, or call pattern creates security risk, abuse risk, or abnormal consumption.
  • Upstream models, third-party services, payment channels, or infrastructure are suspended, terminated, or unavailable.
  • Continuing service may violate law, sanctions, export controls, regional restrictions, or third-party policies.
  • Continuing service may harm XNova, other users, or third parties.

XNova will explain restrictions where reasonably practicable. However, for safety, risk-control, compliance, third-party, or anti-circumvention reasons, XNova may be unable to disclose full details.

Intellectual Property

Except as expressly stated in these terms, neither party obtains ownership of the other party's content, trademarks, names, logos, services, code, documentation, models, APIs, or other intellectual property.

You may not impersonate XNova, invent a partnership, remove or alter rights notices, or use XNova names, logos, interfaces, documentation, or service descriptions in a misleading way.

Confidentiality and Security

If either party receives non-public information from the other through service use, support communication, troubleshooting, or cooperation, that information should be used only as necessary to perform these terms and protected with reasonable measures against unauthorized access, disclosure, or misuse.

XNova takes reasonable protective measures based on business, security, and compliance needs, but does not promise that the service will never be interrupted, delayed, erroneous, attacked, or affected by third-party factors.

Disclaimer

XNova services are provided on an "as is" and "as available" basis. Unless required by law or expressly committed in writing by XNova, XNova does not guarantee that the service or outputs will be continuously available, fully accurate, complete, fit for a particular purpose, uninterrupted, error-free, or non-infringing.

Third-party models, APIs, platforms, payment channels, clients, and other third-party services are the responsibility of their providers. XNova does not guarantee their availability, outputs, policies, prices, regional restrictions, or stability.

Limitation of Liability

To the maximum extent permitted by law, XNova is not liable for indirect damages, lost profits, business interruption, data loss, loss of goodwill, substitute service procurement costs, or other consequential damages arising from use or inability to use the service.

Except for liability that cannot be limited by law, XNova's aggregate liability arising from these terms or the service is capped at the amount you actually paid for the relevant service during the twelve months before the event giving rise to the claim.

Updates

XNova may update these terms based on business needs, laws and regulations, upstream policies, risk control, security, or service changes. Updated versions will be posted on the documentation site or related pages; material changes may be announced in a reasonable manner.

Continuing to use the service after an update takes effect means you accept the updated terms.

Dispute Resolution

Disputes arising from these terms or the service should first be resolved through friendly negotiation. If negotiation fails, unless mandatory law provides otherwise, disputes will be submitted to a court or dispute resolution body with jurisdiction in the registration location of the XNova service provider.

To pursue unpaid fees, abuse, infringement, unlawful use, regional circumvention, or other breaches, XNova may also assert rights in the user's location, place of infringement, place where harm occurs, or any other jurisdiction with authority.
